Terms & Conditions

These Terms and Conditions ("Terms") set forth the conditions for use of the online shop service ("Service") provided on this website by I-CHAIN JAPAN Co., Ltd. ("Company"). All registered users ("Users") shall use the Service in accordance with these Terms.

Article 1 (Application)

These Terms shall apply to all matters relating to the use of the Service between the User and the Company.

In addition to these Terms, the Company may establish various rules and provisions regarding the use of the Service (collectively, "Individual Provisions"). Regardless of their name, such Individual Provisions shall constitute part of these Terms.

If any provision of these Terms conflicts with any provision of the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified therein.

Article 2 (User Registration)

In this Service, registration shall be completed when an applicant agrees to these Terms, applies for registration by the method prescribed by the Company, and the Company notifies the applicant of its approval.

The Company may decline an application for registration if it determines that any of the following applies, and shall have no obligation to disclose the reason:

If false information has been provided during the registration application

If the application is submitted by a person who has previously violated these Terms

If the Company otherwise determines that registration is inappropriate

Article 3 (Management of User ID and Password)

Users shall manage their user ID and password for the Service at their own responsibility.

Under no circumstances may a User transfer, lend, or share their user ID and password with any third party. If a login is made using a combination of user ID and password that matches the registered information, the Company shall regard such use as having been made by the User who registered that user ID.

The Company shall not be liable for any damage caused by the use of a user ID and password by a third party, except in cases of willful misconduct or gross negligence on the part of the Company.

Article 4 (Sales Contract)

Within this Service, a sales contract shall be formed when a User submits a purchase application to the Company and the Company notifies the User that it has accepted the application. Ownership of the relevant product shall transfer to the User when the Company delivers the product to the shipping carrier.

The Company may cancel the sales contract described in the preceding paragraph without prior notice to the User if any of the following applies:

If the User has violated these Terms

If delivery cannot be completed due to an unknown destination or long-term absence

If the Company otherwise determines that the relationship of trust between the Company and the User has been impaired

Methods of payment, shipping, cancellation of purchase applications, returns, and other matters relating to the Service shall be separately determined by the Company.

Article 5 (Intellectual Property Rights)

Copyrights and other intellectual property rights in product photographs and other content provided through the Service (collectively, "Content") shall belong to the Company, content providers, or other legitimate rights holders. Users may not reproduce, reprint, modify, or otherwise make secondary use of such Content without authorization.

Article 6 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Service:

Acts that violate laws or public order and morals

Acts related to criminal activity

Acts that infringe copyrights, trademark rights, or other intellectual property rights contained in the Service

Acts that destroy or interfere with the functions of the Company's servers or networks

Acts of commercially using information obtained through the Service

Acts that may interfere with the operation of the Company's services

Unauthorized access or attempts to gain unauthorized access

Acts of collecting or storing personal information, etc. about other users

Acts of impersonating other users

Acts of directly or indirectly providing benefits to antisocial forces in relation to the Company's services

Any other act that the Company deems inappropriate

Article 7 (Suspension of Provision of the Service)

The Company may suspend or interrupt all or part of the Service without prior notice to Users if it determines that any of the following applies:

When performing maintenance, inspection, or updates on the computer system related to the Service

When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters

When computers or communication lines are stopped due to an accident

When the Company otherwise determines that provision of the Service is difficult

The Company shall not be liable for any disadvantage or damage suffered by Users or third parties due to the suspension or interruption of the Service, regardless of the reason.

Article 8 (Restriction of Use and Cancellation of Registration)

The Company may, without prior notice, restrict a User's use of all or part of the Service or cancel the User's registration if any of the following applies:

If the User has violated any provision of these Terms

If it is discovered that there is false information in the registered details

If the credit card submitted by the User as a payment method has been suspended

If the User has defaulted on payment obligations such as fees

If the User fails to respond to communications from the Company for a certain period

If the User has not used the Service for a certain period since the last use

If the Company otherwise determines that use of the Service is inappropriate

The Company shall not be liable for any damage incurred by the User as a result of actions taken by the Company under this Article.

Article 9 (Withdrawal)

Users may withdraw from the Service by completing the prescribed withdrawal procedures.

Article 10 (Disclaimer of Warranties and Limitation of Liability)

The Company does not warrant that the Service is free from factual or legal defects (including defects relating to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, errors, bugs, or infringement of rights).

The Company shall not be liable for any damages incurred by Users in connection with the Service. However, if the contract between the Company and the User concerning the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act, this disclaimer shall not apply. Even in such a case, the Company shall not be liable for damages arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of such damages) among damages incurred by the User due to default or tort caused by the Company's negligence, excluding gross negligence.

The Company shall not be responsible for any transactions, communications, or disputes arising between a User and another User or third party in relation to the Service.

Article 11 (Changes to the Service)

The Company may change the content of the Service or discontinue providing the Service without notifying Users, and shall not be liable for any damage incurred by Users as a result.

Article 12 (Amendment of Terms)

The Company may amend these Terms at any time without notifying Users when it deems necessary. If a User begins using the Service after such amendment, the User shall be deemed to have agreed to the amended Terms.

Article 13 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's "Privacy Policy."

Article 14 (Notices or Communications)

Notices or communications between the User and the Company shall be made by the method prescribed by the Company. Unless a User submits a change notification in accordance with the separately prescribed method, the Company shall deem the currently registered contact information to be valid and shall send notices or communications to that contact information, and such notices or communications shall be deemed to have reached the User at the time of transmission.

Article 15 (Prohibition of Assignment of Rights and Obligations)

Users may not assign or transfer their contractual status under the user agreement or their rights or obligations under these Terms to any third party, nor provide them as security, without the prior written consent of the Company.

Article 16 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. The application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded with respect to the Service.

In the event of any dispute relating to the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive agreed jurisdiction.
